Your Acceptance of These Terms of Use

These Terms of Use apply to all users of the online and mobile website and other applications and platforms (collectively, the “Site”) owned and/or operated by WeFix Appliance, LLC and its affiliates and franchisees. By using this Site, you are agreeing to comply with and be bound by these Terms of Use. If you do not agree to these Terms of Use, you may not access or use this Site.

Your Acceptance of Our Privacy Policy

By agreeing to these Terms of Use, you also agree to the terms of the WeFix Privacy Policy, which is incorporated herein by reference and made part of these Terms of Use. Before using this Site, please review our Privacy Policy carefully.

All information you provide to us through your access to or use of this Site will be collected, used, and disclosed in accordance with our Privacy Policy.

In the event of any conflict between these Terms of Use and the Privacy Policy, these Terms of Use shall control, except to the extent expressly stated otherwise in the Privacy Policy.

Age Restrictions

You confirm that you are at least 13 years old, an emancipated minor, or possess legal parental or guardian consent, and that you are fully able and competent to enter into these Terms of Use.

This Site is not intended for, or directed to, anyone under the age of 13.

We do not knowingly collect personal information from children under the age of 13. If we become aware that we have collected personal information from a child under 13 without verified parental consent, we will delete such information in accordance with applicable law.

Your Consent to Other Agreements

When you sign up to use a special feature of this Site, you may be asked to agree to additional terms that govern your use of that feature. The display or availability of any Content on this Site shall not be construed as a waiver of any rights in such Content. You shall not, and do not, obtain any ownership rights in or to any Content accessed through this Site.

Except as expressly permitted herein, no Content from this Site may be used, copied, reproduced, distributed, republished, downloaded, modified, displayed, posted, or transmitted in any form or by any means, whether electronic, mechanical, photocopying, recording, or otherwise, without the prior express written consent of WeFix Appliance, LLC.

All rights not expressly granted to you in these Terms of Use are reserved by WeFix.

Trademarks

WeFix names and logos, including but not limited to WeFix Appliance®, all product and service names, all graphics, button icons, and all trademarks, service marks, and trade dress appearing on this Site, unless otherwise noted, are trademarks (whether registered or not), service marks, and/or trade dress of WeFix Appliance, LLC (“WeFix Marks”).

All other trademarks, product names, company names, logos, service marks, and/or trade dress mentioned, displayed, cited, or otherwise indicated within this Site are the property of their respective owners.

You are not authorized to display or use any WeFix Marks in any manner without the prior written permission of WeFix Appliance, LLC. You are not authorized to display or use the trademarks, product names, company names, logos, service marks, or trade dress of other owners featured within this Site without the prior written permission of such owners.

The use or misuse of WeFix Marks or any other trademarks, product names, company names, logos, service marks, trade dress, or any other materials contained herein, except as expressly permitted herein, is strictly prohibited.

Your Access

WeFix hereby grants you a limited, non-exclusive, non-transferable, revocable license to use the Site solely for noncommercial and personal use, provided that you:

  1. comply with these Terms of Use;
  2. use the Site for lawful and permitted purposes;
  3. do not modify, copy, or distribute the Site or its Content, including on any network, computer, or broadcast in any media;
  4. retain any and all copyright and other proprietary notices contained in the Site or Content; and
  5. do not disable or interfere with any security features of the Site.

Responsibility for User-Generated Content Posted on or Through This Site

You are fully responsible for any User-Generated Content (“UGC”) that you post on or through this Site. Under no circumstances shall the WeFix Parties be liable for any UGC.

This means that you, and not WeFix, are solely responsible for all UGC you post and may be personally liable for content that is defamatory, obscene, libelous, or that violates these Terms of Use, any confidentiality obligations, or the rights of others.

You represent and warrant that for all UGC: (i) you own or have all necessary rights, licenses, and permissions to use and to authorize the WeFix Parties to use all intellectual property or proprietary rights contained therein; and (ii) you have obtained appropriate consent from each identifiable individual in the UGC to use their name, image, or likeness.

Because WeFix does not control UGC posted on or through this Site, we cannot and do not warrant or guarantee the truthfulness, integrity, suitability, or quality of any such UGC. By accessing this Site, you acknowledge and agree that you may encounter UGC that you find objectionable. The WeFix Parties assume no responsibility or liability for any UGC, including, without limitation, any errors or omissions contained therein.

To the fullest extent permitted by law, the WeFix Parties shall not be liable for any loss or damage of any kind that you may claim to have incurred as a result of the use of any UGC posted, emailed, transmitted, or otherwise made available on or through this Site. UGC posted on or through this Site reflects solely the personal opinions of the individuals who posted it and does not necessarily represent the views of WeFix or any person or entity affiliated with WeFix.

You retain ownership of any UGC you post; however, you grant the license described below. You understand and agree that, regardless of whether any UGC is published, WeFix does not guarantee any confidentiality with respect to UGC. You retain the copyright in any original UGC you post, and WeFix does not claim any ownership rights in your UGC.

By using this Site, you grant to WeFix and its subsidiaries, affiliates, successors, and assigns a nonexclusive, fully paid, worldwide, perpetual, irrevocable, royalty-free, transferable license (with the right to sublicense through unlimited levels of sublicensees) to use, copy, modify, distribute, publicly display and perform, publish, transmit, remove, retain, repurpose, and commercialize any UGC you post, in any and all media or forms of communication now known or hereafter developed, without further consent, notice, attribution, or compensation to you, and to authorize others to do the same.

For this reason, we ask that you do not post any UGC that you do not wish to license to us, including but not limited to photographs, videos, confidential information, or product ideas.

The WeFix Parties reserve certain rights regarding User-Generated Content. WeFix has the right, but not the obligation, to:

  • monitor all UGC;
  • establish guidelines regarding acceptable content and require compliance with such guidelines;
  • remove or block any UGC at any time, without notice, at our sole and absolute discretion;
  • disclose any UGC and the identity of the user who posted it in response to a subpoena, or whenever the WeFix Parties believe in good faith that such disclosure is necessary to comply with applicable law or a court order, to prevent or investigate a possible crime or other legal violation, to protect the rights, property, or safety of the WeFix Parties or others, or to enforce these Terms of Use; and
  • terminate your access to and use of this Site, or to modify, edit, or block your transmissions to this Site, at their sole discretion.

You agree that the exercise of the foregoing rights by the WeFix Parties shall not render any WeFix Party the owner of any UGC you post; you retain ownership as described above.

Restrictions on User-Generated Content

As a condition of these Terms of Use, you agree that you will not upload, post, transmit, or otherwise make available, and will not cause or encourage others to make available, any UGC that:

  • is unlawful, harmful, hateful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, pornographic, profane, racially disparaging, indecent, or invasive of another’s privacy;
  • constitutes or encourages conduct that would be considered a criminal offense or give rise to civil liability;
  • is false, misleading, or fraudulent;
  • you do not have a legal right to make available, including proprietary or confidential information subject to employment agreements, nondisclosure agreements, or other contractual obligations;
  • violates or infringes upon the rights of others, including but not limited to patent, copyright, trademark, privacy, publicity, trade secret, confidentiality, contract, or any other legal or proprietary rights of any individual (living or deceased) or entity;
  • contains the image, name, or likeness of anyone other than yourself, unless (i) that person is at least eighteen years old and you have obtained their express written consent, or (ii) that person is under eighteen years old and you are their parent or legal guardian;
  • solicits personal or private information from any individual;
  • solicits money, goods, or services for private gain;
  • contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
  • contains advertising, promotions, or marketing, or which otherwise has a commercial purpose;
  • impersonates any person or entity or misrepresents your affiliation with any person or entity; or
  • violates any applicable local, state, national, or international law, rule, or regulation.

By posting User-Generated Content, you represent and warrant that: (i) you own or otherwise control all rights to the UGC and have the authority to grant the license described in these Terms of Use; (ii) the UGC is accurate; and (iii) you have read and understood these Terms of Use, and your UGC fully complies with these Terms of Use and all applicable laws, and does not and will not infringe or violate the rights of any third party.

Removal of Content

If you wish to request removal of objectionable User-Generated Content, you may contact us using the information provided below. The WeFix Parties will review such requests and may remove UGC that they determine, in their sole discretion, should be removed, in accordance with these Terms of Use and applicable law.

Please note, however, that if the UGC has already been distributed to other websites or published in other media, the WeFix Parties may be unable to recapture or delete such content. Additionally, a backup or residual copy of removed UGC may remain on backup servers for a limited period of time.

Violation of Copyrights

The WeFix Parties respect the intellectual property rights of others and expect users of the Site to do the same.

The WeFix Parties will promptly remove or disable access to material upon obtaining actual knowledge of infringement or awareness of facts or circumstances from which infringing activity is apparent, in accordance with the Digital Millennium Copyright Act (“DMCA”).

If you believe that your own work, or the work of a third party for whom you are authorized to act, appears on this Site or has otherwise been copied and made available through this Site in a manner that constitutes copyright infringement, please notify us promptly. Your notice must be in writing and must include the following:

  • an electronic or physical signature of the copyright owner or the person authorized to act on behalf of the copyright owner;
  • a description of the copyrighted work that you claim has been infringed (or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site);

Your Feedback

Notwithstanding that WeFix does not claim ownership of User-Generated Content submitted by you through this Site, any feedback, suggestions, proposals, ideas, or other information provided by you to WeFix through this Site (“Feedback”) shall become and remain the exclusive property of WeFix.

By submitting such Feedback, you hereby irrevocably assign to WeFix all worldwide rights, title, and interest in and to such Feedback, including all copyrights and intellectual property rights therein.

WeFix shall have the unrestricted right to implement, use, reproduce, disclose, display, perform, distribute, modify, and otherwise exploit any Feedback you submit, for any purpose, without restriction and without any obligation to provide compensation or attribution to you. Therefore, do not submit any Feedback that you do not wish to assign to WeFix.

User Information and Account Security

As a condition of your use of this Site, you agree that any personal information you provide to WeFix shall be true, accurate, current, and complete, and that you will update such information as necessary to maintain its accuracy and completeness.

If you create an account through this Site, you acknowledge and agree that your account, including your username and password, is personal to you and may not be used by any other individual. You may not use another person’s account without their express permission. You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account, whether or not authorized by you.

You agree to change your password immediately if you believe your password has been compromised or used without authorization. You also agree to promptly notify WeFix of any actual or suspected breach of security, including the loss, theft, or unauthorized disclosure or use of your username or password, by contacting us using the information provided below. You may be held liable to WeFix for any losses resulting from unauthorized use of your account.

You agree to use this Site in compliance with all applicable laws, rules, and regulations. You further agree not to upload or transmit through this Site any computer viruses, trojan horses, worms, or any other software or code intended to interfere with, interrupt, or disrupt the normal operation of any computer or network.

Any unauthorized modification, tampering, or alteration of any information, or any interference with the availability of or access to this Site, is strictly prohibited. You shall not disassemble, decompile, copy, reverse-engineer, or create derivative works based on the Site or its Content.

You further agree not to use or deploy any unauthorized technology or automated system on this Site to access online services or to extract Content from the Site. You shall not attempt to gain unauthorized access to, impair, disable, or overload the Site. WeFix reserves all rights and remedies available at law or in equity.

We may suspend or terminate your account for violations of these terms.

THIS SITE AND ALL OF ITS CONTENT (INCLUDING USER-GENERATED CONTENT) ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND.

This includes, without limitation, any direct, indirect, general, special, punitive, incidental, or consequential damages; loss of use or data; loss caused by viruses or similar harmful components; loss of income or profits; loss of or damage to property; third party claims; or any other losses, even if WeFix has been advised of the possibility of such damages or losses, arising out of or in connection with your use of this Site, except for liability arising from gross negligence, willful misconduct, or where required by law (such as fraudulent misrepresentation), which shall not be limited.

You are solely responsible for establishing and maintaining procedures for data backup and virus protection as you consider necessary. This limitation of liability applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or any other legal theory.

If any portion of this limitation of liability is determined to be invalid or unenforceable for any reason, then the aggregate liability of WeFix and the released parties for liabilities that would otherwise have been limited shall not exceed ten dollars ($10.00).

This Site may provide you with specific legal rights, and you may have other rights that vary from jurisdiction to jurisdiction. Some jurisdictions do not permit certain limitations or exclusions of liability; as such, some of the limitations and exclusions contained in these Terms of Use may not apply to you. Other jurisdictions permit such limitations and exclusions only under certain conditions.

In such cases, the limitations and exclusions set forth in these Terms of Use shall apply to the maximum extent permitted by the applicable laws of those jurisdictions. Your statutory rights as a consumer, if any, are not affected by these provisions, and WeFix does not seek to exclude or limit liability for fraudulent misrepresentation.

Text Messaging

You understand and agree that WeFix’s text messaging program is considered an “other application” under these Terms of Use.

Message frequency may vary. Based on your consent, messages may include marketing, promotional, or transactional content. WeFix does not share your SMS opt-in data or consent with third parties for their own marketing purposes.

You may unsubscribe from messages at any time by replying STOP. For assistance, reply HELP or visit wefix-appliance.com/privacy-policy. Your consent to receive text messages is not a condition of purchase. Message and data rates may apply; please consult your wireless carrier for information about your messaging plan.

Our franchisees are independently owned and operated businesses. These terms do not apply to unapproved text messaging programs. If you are receiving text messages from a franchisee, you may need to opt out from them directly. Each franchisee is solely responsible for its own legal and regulatory compliance.

You represent that you are the owner or authorized user of the wireless device you use to subscribe to the service and that you are authorized to approve any applicable charges.

WeFix is not liable for any delays or failures in your receipt of SMS or MMS messages, as delivery is subject to effective transmission from your network operator and processing by your mobile device. SMS and MMS message services are provided on an “AS IS” basis.

The service and all content and materials received through the service are proprietary to WeFix or its licensors and are provided for your personal, non-commercial use only. You must not damage, impair, interfere with, or disrupt the service or its functionality.

The service is available only within the United States.

Carriers are not liable for delayed or undelivered messages. Message content may not be available on all carriers.

WeFix reserves the right to modify charges and/or these terms and conditions at any time. We may suspend or terminate the service if we believe you are in breach of these terms and conditions. We may discontinue the service at any time.

WeFix has no control over third-party websites and is not responsible for their availability. WeFix shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with, the use of or reliance on any content, advertising, services, products, or other materials available on or through any third-party websites. These Terms of Use do not govern your use of third-party websites; your use of such websites is subject to the terms and policies established by the respective website owners.

Modification and Discontinuation

WeFix reserves the right, at any time and from time to time, to modify, edit, delete, suspend, or discontinue, temporarily or permanently, this Site (or any portion thereof) and/or any information, materials, products, or services made available through this Site (or any part thereof), with or without prior notice.

You acknowledge and agree that WeFix shall not be liable to you or any third party for any such modification, editing, deletion, suspension, or discontinuation of this Site or its content.

Waiver

The failure of WeFix to enforce, at any time, any provision of these Terms of Use or to exercise any right provided herein shall not constitute a waiver of such provision or right. Any waiver must be explicitly documented in writing.

Unless a written waiver expressly provides otherwise, no waiver of any breach of any provision of these Terms of Use, or of any right set forth herein, shall be deemed a waiver of any subsequent or continuing breach of the same provision, a waiver of the provision itself, or a waiver of any other rights under these Terms of Use.

Severability

If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified and interpreted to the maximum extent permitted by law to effectuate the original intent of the provision.

If such modification is not possible, the unenforceable provision shall be severed, and the remaining provisions shall remain in full force and effect.

Governing Law, Jurisdiction, and Venue

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute, claim, or action arising out of or relating to these Terms of Use shall be brought exclusively in the state or federal courts located in Pinellas County, Florida. You hereby irrevocably submit to the personal jurisdiction of such courts for all purposes.

Notwithstanding the foregoing, WeFix reserves the right to initiate legal proceedings in any jurisdiction where it believes that a violation or infringement of these Terms of Use has occurred or is occurring.

Indemnity
